1. Formation
These Business Terms form a contract when an authorised person creates a partner account, completes onboarding, or starts using Cobbtree for a business, and they accept the documents listed on the sign-up or billing screen. The Data Processing Addendum is incorporated. The Payments Terms, Hardware Terms and Gift Card Terms apply where you use those features.
These terms are a business-to-business contract. They are not consumer terms for your clients. Your clients contract with you for treatments.
2. Eligibility and authority
You must be a business or professional entitled to offer the services you list. The person who accepts these terms confirms they have authority to bind the business. You must complete any identity, bank and compliance checks Stripe requires for a connected account. We may ask for information needed to verify the business.
3. Authorised users
Staff and other authorised users access Cobbtree under your responsibility. Each person should have unique credentials. You must remove access when someone leaves. You are responsible for their activity in your workspace.
4. Your responsibilities
You are responsible for:
- professional licences, insurance and qualifications;
- premises, hygiene and health-and-safety compliance;
- the standard of treatments, products and advice you supply;
- UK consumer law in your dealings with clients;
- VAT, tax and invoices for your own sales;
- accurate names, prices, hours, staff profiles and service descriptions;
- cancellation, deposit and no-show rules that are lawful and clearly shown before a client books;
- appointment notes, consultation forms and patch-test records you choose to keep.
Cobbtree is not clinical software. It does not give medical advice. You remain responsible for whether a treatment is appropriate.
5. Information and content
Keep listings, Sites, photos and prices accurate and lawful. You grant COZQ Limited a non-exclusive licence to host, resize, cache and display your content in Cobbtree, including marketplace search and any Cobbtree Site we host for you. You keep ownership of your content. You confirm you have staff and customer permission for photographs you upload, including portfolio images.
6. Client data and special-category information
For client records you enter or collect through Cobbtree, you are the controller and we are your processor, as set out in the Data Processing Addendum. Consultation forms, allergies, medications, pregnancy notes, skin conditions, patch tests, disabilities and treatment notes may include special-category (health) data. Do not collect that information unless you have a UK GDPR Article 9 condition and a lawful basis. We process it only on your documented instructions to provide the software.
You must not use Cobbtree to make solely automated decisions that produce legal or similarly significant effects about a client without the safeguards UK GDPR requires.
7. Marketplace, Sites and domains
If you appear in marketplace search, you must keep the listing honest. A Cobbtree Site uses our templates and software (which we own) and your content (which you own). You are responsible for the legal information on that Site, including your own prices and offers.
Custom domain search does not register a name. If you order a domain through Cobbtree, we charge the published annual price (currently shown in Sites as a net amount plus VAT) for a one-year term. Searching is not a registration. WHOIS privacy is described in the product as protected by COZQ and Cloudflare. Domain renewal, expiry and DNS remain your operational responsibility once notified. We do not guarantee search rankings.
Visitors to your Site may be your customers. You may need your own privacy information for processing you carry out as controller. Booking widgets we host may set strictly necessary booking-session storage. You must not add advertising tags to a Cobbtree Site unless the product actually provides that control.
8. Payments, POS and Tap to Pay
Client card payments use Stripe Connect direct charges on your connected account. You are the merchant of record for those charges. Stripe provides the connected payment service under its own terms. You are responsible for payouts, refunds, disputes, chargebacks, negative balances, reserves Stripe applies, and the bank details you give Stripe. See the Payments Terms.
POS, card readers and Tap to Pay (where Apple, Google and Stripe have enabled the relevant feature on the device) still charge your connected account. Some iOS Tap to Pay functions depend on Apple entitlements that may not be present on every installed app version.
9. Subscriptions and platform fees
Current public plans: Cobbtree One at £14.49 + VAT per month; Cobbtree Studio at £24.49 + VAT per month. Prices are exclusive of VAT unless a plan is marked VAT-inclusive. There is no setup fee on the public catalogue. We store a snapshot of the plan, price, trial or offer that applied when you accepted. Early Founders Access is offered to the first 20 approved businesses (4 months free), replacing the standard 60-day trial. After the complimentary period the selected plan price applies. Payment of the subscription begins when a card is on file after any complimentary period. Subscriptions renew each billing interval until cancelled at period end.
You can cancel at the end of the current period from Billing in partner settings, or ask [email protected]. Cancellation takes effect at period end unless we agree otherwise. We do not refund unused subscription time unless the law requires it or we decide to as a goodwill gesture. Plan upgrades and downgrades follow the quote shown in Billing, including any credit. Features may be added or reasonably varied. Founder or lifetime pricing applies only if a published offer you redeemed says so, and only for the snapshot we stored.
Failed subscription payments may lead to retries, then restriction or suspension. We may pursue unpaid B2B sums as a debt.
A new-client fee of 10% + VAT currently applies where the public catalogue says it is collecting. Gift-card purchases currently attract a Cobbtree commission of 5% + VAT on the purchase price, charged once. Membership collections currently attract a Cobbtree commission of 5% + VAT each time membership money is collected. Cobbtree does not currently add a separate platform fee to standard card processing. Stripe's own processing fees are charged by Stripe to your connected account. SMS: SMS sending exists in the product but is not currently enabled as a live platform channel unless we later switch it on for your account. Additional SMS, when enabled, is billed at the rate shown in the public catalogue or your billing screen, plus VAT. Custom domains are billed as described in Sites. Hardware is sold under the Hardware Terms.
Material recurring prices and fees that apply to you are shown before you subscribe or before you use a paid collection feature. Changing published catalogue prices later does not rewrite an acceptance snapshot already stored.
10. Email, SMS and marketing
Booking reminders, receipts and security messages are service messages. Direct marketing (including campaigns, reactivation and promotional SMS or email) is different. Providing a Cobbtree messaging tool does not make a message lawful. You must have an appropriate lawful basis or PECR consent where required, honour opt-outs and keep suppression lists. You are responsible for the content you send.
11. Reviews
You must not post fake reviews, conceal incentives, or review your own business. You must take reasonable steps not to publish fake reviews on channels you control. See the Review Policy. Imported historical reviews from another platform are not described as Cobbtree-verified visits.
12. Data import and migration
If you import records (including from another booking platform), you confirm you have authority and a lawful basis to export and import that personal data. COZQ Limited is not affiliated with, or authorised by, any third-party booking brand whose name appears in our move tools. Source-platform contracts remain yours. You must check imported records for accuracy, duplicates and unsupported fields. We do not promise a perfect copy of every field. Keep your own backup of source data. Migration failures, formatting differences and data you are not entitled to transfer are your responsibility except to the extent caused by our own negligence.
13. Integrations and APIs
Optional connections (for example Google or Microsoft calendars, Google Business Profile, or Facebook booking links) are provided "as available". Those providers may change or withdraw APIs. Do not misuse APIs, exceed documented limits, or use Cobbtree to build a competing extract of the platform. Webhooks and exports that the product provides are for your lawful business operations.
14. Intellectual property
COZQ Limited owns the Cobbtree software, design, branding, documentation and proprietary workflows. You receive a limited licence to use Cobbtree during the subscription. You must not copy, resell, reverse engineer (except where the law allows), or use confidential Cobbtree material to clone the service. Your business content remains yours, subject to the licence in section 5.
15. Acceptable use
The prohibited-use rules in the Terms of Use apply. In addition you must not use Cobbtree for unlicensed clinical practice, fraudulent charges, or competitive scraping of other businesses' private data.
16. Suspension, termination and data
We may restrict, suspend or terminate for non-payment, fraud, security risk, illegal activity, abuse, serious consumer-protection issues, review manipulation, chargeback abuse, IP infringement, privacy breaches, material breach, or legal requirement. You may cancel the subscription at period end as described in section 9.
After termination we will stop providing the software. You should export reports and records you need before access ends. We will retain or delete personal data as the Data Processing Addendum and Privacy Notice describe. Backups are not instant. We do not promise that every backup copy disappears on the day an account closes. Aggregated or anonymised statistics may be kept. Outstanding fees remain payable. Open bookings and client communications are your operational problem to wind down. Connected Stripe payouts follow Stripe's handling of the connected account.
17. Warranties and disclaimers
We will provide Cobbtree with reasonable care and skill. Except as required by law, we do not warrant uninterrupted uptime, particular search rankings, or that third-party networks will work. We do not give a PCI certification of our own; card data is handled by Stripe.
18. Liability
Nothing excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law. Data-protection liability is limited only to the extent UK GDPR and the Data Protection Act 2018 allow.
Subject to that, COZQ Limited is not liable to you for: loss of profit, revenue, anticipated savings, goodwill, or opportunity; loss arising from your treatments or client relationships; Stripe or other provider outages; incorrect information you publish; failed data imports caused by source data; or indirect or consequential loss.
Our total aggregate liability to you arising out of or in connection with these Business Terms in any 12-month period is limited to the subscription fees you actually paid us for Cobbtree software in that 12-month period (excluding Stripe processing fees paid to Stripe, and excluding amounts paid by your clients to you). If you have paid no such fees in that period (for example during a complimentary trial), the cap is £250.
19. Indemnity
You will indemnify COZQ Limited against third-party claims, Stripe assessments reasonably attributable to your account, and reasonable costs arising from: your treatments or products; unlicensed or unlawful operation; content you upload; IP infringement caused by that content; unlawful marketing; disputes with your clients; your misuse of personal data; fraud; or misuse of Cobbtree by your users. This indemnity does not apply to the extent a claim is caused by our negligence or wilful misconduct.
20. General
Confidential information (including non-public commercial terms) must be kept confidential. We may assign this agreement to a purchaser of our business. You may not assign without our consent, not to be unreasonably withheld. Variation must be in writing or by an updated version you accept in the product. Waiver must be express. If a clause is invalid the rest remains. These Business Terms, the documents they incorporate, and any stored acceptance snapshot are the entire agreement for the software subscription. Third parties have no rights under the Contracts (Rights of Third Parties) Act 1999. Force majeure covers events beyond reasonable control. Notices:[email protected] and the registered office.
